1. Background and scope

This Privacy Notice (“Notice”) describes how Sooner Pipe, L.L.C dba Sorian^TM (“Sorian”, “Company,” “us”, “we”, “our”) collects, uses, discloses, and stores the personal data of users of the Sorian360 mobile application and Sorian360 web interface (collectively, “Sorian360”) and our website, sorian.com, acting in a commercial context or as a representative of a company and not in a personal capacity (“you”) (collectively, the “Online Services”).

This NOTICE does not apply to personal data collected, used, disclosed, or stored in the course of fulling a purchase contract, facilitating the sale of products, and associated payment processing (“Offline Transaction”), even if the need for such products, items or services was identified through your use of the Online Services.  For questions about our use of data in the course of an Offline Transaction, please refer to privacy@sorian.com.

Sorian collects, uses, discloses, and stores personal data in the course of providing supply chain solutions for tubular goods and flow control components.  We are committed to protecting the privacy and confidentiality of personal data and to maintaining various physical, electronic and procedural safeguards to protect personal data in our care as further described in this Notice.

2. What Personal Data do we Collect?

“Personal Data” refers to data that could be used, alone or in combination with other data, to identify you as an individual. Personal Data also includes information designated as such under applicable law. Personal Data does not include publicly available information, or information that is deidentified or aggregated information.  Personal Data also does not include information related to or describing the entity or company you

Sorian may collect the following categories of Personal Data:

• Identifiers
  • contact information, such as name, address, telephone number, email address;
  • online identifiers, such as IP address, online account name;
  • Other similar identifiers
• Commercial Information, such as records of products or services purchased, obtained, or considered;
• Internet/Usage Data, such as browser type, browser version, browsing history, including pages visited and time spent on those pages, time and date of your visit, device used to access the Services, unique device identifiers, operating system, and other diagnostic data or data sent by your browser when you visit the Services;
• Geolocation data;
• Sensitive information includes:
  • consumer’s precise geolocation
  • No other sensitive information is collected.

Our services are not directed to minors. We do not knowingly collect Personal Data from children under 13.  If you believe we have collected information from a child under 13, please contact us immediately. To our actual knowledge we do not sell or share the Personal Data of consumers under 16 years of age.

3. How do we collect Personal Data?

Sorian collects Personal Data from the following categories of sources:

• You, we collect Personal Data directly from our interactions with you, for example:
  • When you visit and interact with the Online Services;
  • When you submit information through an online form, survey, or other interactive area of the Online Services;
  • When you create an account through the Online Services, including on Sorian360; and
  • When you use the features and functions of, or submit information through, the Online Services, including Sorian360. We process sensitive Personal Data only when you consent to processing your Personal Data.
• Third party/service providers that manage, maintain, and protect our services, for example:
  • Data analytics providers, including when you visit or use the Online Services or a communication from us;
  • Network security providers for the Online Services;
• Technology Trackers/Cookies deployed to track activity on the Online Services and collect Personal Data, for example:
  • First-party, session cookies administered by us to enable and provide certain features and functions of the Online Services
  • First-party, persistent cookies administered by us to identify users that have accepted the use of cookies on the website or to remember the choices you made through your use of the Online Services
  • Third-party, persistent cookies administered by third-parties to track information about traffic to the Online Services and how users use the Online Services.

4. How do we use your Personal Data?

Sorian collects Personal Data for the following purposes:

• providing you with supply chain services, including enabling registration and maintenance of your account, enabling your access to the Online Services, enabling features and functions of the Online Services as requested by you, subscribing you to our e-newsletter and other customer notification materials;
• contacting you, including responding to your requests to us, notifying you of updates or information related to the features or functions of the Online Services, or providing security updates;
• developing and improving the Online Services, including analyzing usage trends, conducting data analysis related to the Online Services, conducting market research, customer satisfaction surveys and requesting feedback on your experience with the Services;
• sending marketing and promotional materials related to news, special offers, and general offers about our products, services, and, including, e-mail, text notifications, and telephone calls;
• managing, maintaining, and protecting our digital environment, such as our network environment, the Online Services, and your access to and usage of the Services, including detecting, deterring, protecting against, and investigating fraudulent, unauthorized, unlawful, or illegal activities;
• complying with and enforcing our legal requirements and obligations, including regulatory reporting and compliance, requests from law enforcement, requests of governmental authorities, and valid court orders or from other valid legal processes;
• protecting the health and safety of you and our customers, employees, partners, contractors, and others; and
• performing business functions necessary to support and maintain the business of Sorian, including internal accounting and administration.

5. Is Personal Data disclosed to third parties?

Sorian may disclose the Categories of Personal Data identified in the “What Personal Data do we Collect” section of this Notice to the third parties described in this Section.

We do not disclose your Personal Data to third parties, except as described in this Notice. Third parties to whom we disclose Personal Data in this Section are required to maintain the confidentiality of such Personal Data and are prohibited from using your Personal Data for purposes other than those agreed. As used in this section, “disclose” means transfer, send, or otherwise made available or accessible to another person or entity, but does not include selling or sharing as those terms are defined under relevant consumer data protection laws.

Your Personal Data may be disclosed to the following types or categories of third parties:

• Partners, suppliers and affiliates to offer the services, features, and functions of the Online Services to you and the provide offers and promotions related to the products and services of our affiliates (“Partners”);
• Service providers, contractors, and suppliers who perform services to facilitate the business of Sorian, enable the Online Services, or your account with us, such as accountants, auditors, attorneys, tax advisors, insurance brokers, entities assessing our compliance with industry standards, investigation providers, infrastructure and hosting provider, email delivery providers, security vendors, data analytics providers, information technology vendors, SMS delivery vendors, and other similar services (“Service Providers”);
• Transactional parties, in the event of any contemplated or actual re-organization, merger, sale, joint venture, assignment, transfer, or other disposition of all or any portion of our business, assets, or stocks, whether as a going concern or as part of a bankruptcy, liquidation, or similar proceeding (“Transactional Parties”); and
• Government agencies, law enforcement authorities, or judicial bodies (“Governmental Authorities”).

6. What are your rights concerning your Personal Data?

You may update, amend, correct, or delete your Personal Data within Sorian360, by signing in to your account and visiting the account setting section that allows you to manage your account information.  To make a request that cannot be managed within Sorian 360, you may contact Sorian in writing as set out in Section 12 below.

Further correspondence regarding questions, comments, or concerns should be made in writing to as set out in Section 11 below.

7. How long does Sorian retain my Personal Data?

Sorian will retain Your Personal Data only for as long as is necessary for the purposes described in this Notice, including as necessary to provide the Online Services as requested by you, comply with our legal obligations, resolve disputes, or enforce our legal agreements and policies.

8. How secure is my Personal Data?

No Personal Data transmitted over the internet can be fully secure. We maintain an information security program designed to protect your Personal Data, including reasonable security procedures and practices appropriate to the nature of the Personal Data to protect the Personal Data from unauthorized or illegal access, destruction, use, modification, or disclosure.

9. Where is my Personal Data used and stored?

Your Personal Data is processed at Sorian’s operating offices in the United States and in any other location where the parties involved in the processing are located. Your Personal Data may be transferred to — and maintained on — computers and systems located outside of your state, province, country or other governmental jurisdiction where the data protection laws may differ than those from Your jurisdiction.

By providing your information to the Services you acknowledge that your Personal Data may not be processed in the United States and you acknowledge the transfer.

• Does Sorian maintain linked third party sites or services?

The Services may contain features, functions, or links to third party services or websites over which we have no control. We are not responsible for the privacy practices or the content of such websites. We encourage you to read the privacy policies of any linked third party features or functions you enable within the Online Services as their privacy policies and practices may differ from ours.
